Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sortable, Inc. ("we," "us," or "our"), governing your access to and use of the Scout platform ("Service"). By creating an account, entering a property address, or otherwise using Scout, you agree to be bound by these Terms.

If you are using Scout on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, 'you' refers to both you individually and that entity.

Scout is an AI-powered property due diligence platform that helps users research properties by aggregating publicly available data, analyzing uploaded documents, generating risk-scored reports, and facilitating outreach to municipal and government offices.

Scout's outputs — including zoning summaries, flood risk assessments, environmental flags, ownership information, and risk scores — are generated using automated AI analysis of public records and other data sources.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Scout. The Service is intended for use within the United States only.

Account Registration

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Account Security

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

Free Tier

Scout offers a free tier with limited features. No payment information is required to use free features. Free tier availability and limits are subject to change with reasonable notice.

Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. All fees are stated in US dollars and are non-refundable except as set out below.

Refund Policy

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access to paid features until then. We do not prorate partial months for monthly plans.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal. Continued use after the effective date constitutes acceptance of the new price.

Taxes

You are responsible for any applicable taxes on your subscription. We will add sales tax where required by law.

Free Tier

Scout offers a free tier that allows you to analyse a limited number of properties without providing payment information. The free tier is provided "as is" and is subject to the following terms:

Referral & Discount Codes

If we issue referral links or discount codes, they are subject to the specific terms stated at the time of issue. Codes are non-transferable, have no cash value, and may not be resold. We reserve the right to invalidate codes obtained or used in violation of these Terms.

You agree to use Scout only for lawful purposes and in accordance with these Terms. You must not:

Ownership

You retain ownership of all documents, notes, and other content you upload or create within Scout ("Your Content"). We claim no ownership over Your Content.

Licence to Us

By uploading content to Scout, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit Your Content solely to provide the Service to you. We do not use Your Content to train AI models.

Deletion

You may delete Your Content at any time from within the Service. Upon account deletion, we will remove Your Content within 30 days except where retention is required for legal compliance.

Scout integrates with third-party services including Google (Gmail, Maps, Gemini AI), Microsoft (Outlook), Stripe, and Supabase. Your use of these integrations is subject to those providers' own terms of service and privacy policies.

Gmail & Outlook Integration

When you connect your Gmail or Outlook account, Scout can send and read emails on your behalf only as directed by you. You can revoke this access at any time from your account settings or directly from your Google or Microsoft account permissions page.

Public Data Sources

Scout aggregates data from public records, government databases, and third-party data providers. We do not guarantee the accuracy, completeness, or timeliness of this data. Public record data may be outdated, incomplete, or contain errors. You should independently verify any information before relying on it.

We are not responsible for the availability, accuracy, or practices of any third-party service.

Our Property

Scout, including its software, design, trademarks, report templates, AI prompts, and aggregated data compilations, is owned by Sortable, Inc. and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos.

Licence to You

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal due diligence purposes.

If you provide us with feedback, suggestions, or ideas about Scout, you grant us an irrevocable, royalty-free licence to use that feedback without any obligation to you.

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SORTABLE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Sortable, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

You may stop using Scout and delete your account at any time from your account settings. Cancellation of a paid subscription is governed by Section 4.

By Us

We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also discontinue the Service with 30 days' notice.

Effect of Termination

Upon termination, your licence to use Scout ends immediately. Sections 6 (Your Content, ownership provisions), 8 (Intellectual Property), 9 (Disclaimers), 10 (Indemnification), 12 (Governing Law), and 13 (Disputes) survive termination.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service.

Informal Resolution First

Before filing any formal legal claim, you agree to contact us at legal@scout-ai.dev and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.

Class Action Waiver

YOU AND SORTABLE, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sortable, Inc. regarding the Service and supersede any prior agreements.

Modifications

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or any rights hereunder without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
